Welcome to spidernet.io (“Spidernet”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and any related applications, tools, or features (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
- By using the Services, you represent and warrant that:
- You are legally capable of entering into a binding contract; and
- You are not barred from using the Services under any applicable law.
If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” will refer to that entity.
2. Account Registration & Security
- To access certain features, you may need to create an account (“Account”). You agree to provide accurate, current, and complete information and to keep it updated.
- You are responsible for:
- Maintaining the confidentiality of your login credentials; and
- All activities that occur under your Account.
- You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.
- We reserve the right to refuse registration, cancel accounts, or reclaim usernames if we believe it is appropriate (for example, in cases of impersonation, infringement, or abuse).
3. Description of Services
Spinernet may provide tools to create, schedule, manage, and publish content across social media platforms and other third-party services, as well as analytics, dashboards, and related features (“Social Posting Tools”), along with other current or future offerings.
We may modify, expand, or restrict parts of the Services at any time, with or without notice, as long as such changes do not materially violate these Terms.
4. Third-Party Services & Social Platforms
- Our Services may integrate with third-party platforms (e.g., Facebook, Instagram, X/Twitter, TikTok, or others). When you connect these accounts, you authorize Spinernet to:
- Access, transmit, and store certain data from those platforms as necessary to provide the Services; and
- Take actions on your behalf (such as posting or retrieving analytics) according to your settings.
- Your use of any third-party platform is governed by that platform’s own terms, policies, and rules. Spinernet is not responsible for:
- The availability, accuracy, or content of any third-party service; or
- Any changes made by third parties to their APIs, terms, or functionality.
- Third-party platforms may limit or revoke our access at any time, which can impact your ability to use certain features. We are not liable for any such changes or interruptions.
5. User Content
5.1 Ownership
You retain all rights to text, images, videos, links, and other materials that you submit, post, upload, or otherwise make available through the Services (“User Content”).
Spinernet does not claim ownership of your User Content.
5.2 License to Spidernet
By submitting User Content, you grant Spidernet a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, modify, distribute, publicly display, and otherwise use the User Content as reasonably necessary to:
- Operate, improve, and provide the Services;
- Integrate with third-party platforms you choose to connect; and
- Comply with applicable laws and enforce these Terms.
This license survives for as long as your User Content is stored by us in connection with the Services.
5.3 Your Responsibility
You are exclusively responsible for your User Content and for ensuring that:
- You have all necessary rights, licenses, and permissions to post and share the User Content and to grant the license described above.
- Your User Content does not:
- Infringe any copyright, trademark, trade secret, moral right, or other intellectual property right;
- Violate any privacy, publicity, or other personal rights;
- Violate any contract or legal obligation; or
- Breach any third-party platform policies.
Spinernet is not obligated to monitor User Content, but we reserve the right to remove or disable any content that violates these Terms or applicable law, in our sole discretion.
6. Prohibited Conduct
You agree not to use the Services to:
- Violate any local, state, national, or international law or regulation;
- Post, upload, or share content that is:
- Illegal, fraudulent, deceptive, or misleading;
- Hateful, harassing, threatening, or abusive;
- Pornographic or sexually explicit (especially involving minors);
- Promoting self-harm, violence, or harm to others; or
- Otherwise objectionable or harmful as determined by us in our sole discretion;
- Impersonate any person or entity, or falsely claim an affiliation with a person or entity;
- Use another user’s Account without permission;
- Attempt to bypass, disable, or interfere with security-related features of the Services;
- Use bots, scripts, or automated methods to access, scrape, or misuse the Services (except as explicitly allowed by us in writing);
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent permitted by law;
- Interfere with or disrupt the integrity or performance of the Services or any servers or networks connected to the Services;
- Use the Services to send spam, unsolicited messages, or abusive content across any platform.
We may investigate and take any appropriate action (including suspension or termination of your Account and cooperation with law enforcement) if we suspect a violation of these Terms.
7. Intellectual Property & License
- Our Content. The Services, including all software, code, visual interfaces, graphics, logos, trademarks, and other content (excluding User Content) are owned by Spinernet or our licensors and are protected by intellectual property laws.
- Limited License. Subject to your compliance with these Terms, Spinernet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own business or personal use.
- You may not:
- Copy, modify, or create derivative works of our Services;
- Distribute, sell, lease, or sublicense any part of the Services; or
- Remove or alter any copyright, trademark, or other proprietary notices.
8. Payment & Subscription (If Applicable)
If Spinernet offers paid plans, subscriptions, or usage-based billing:
- Fees. You agree to pay all applicable fees described at the time of purchase or subscription. Pricing and billing terms are subject to change, but we will notify you before any material change.
- Billing. You authorize us (and/or our payment processors) to charge your provided payment method for all fees due. You are responsible for keeping payment information accurate and up to date.
- Automatic Renewal. Subscription plans may automatically renew at the end of each billing period unless you cancel in accordance with the instructions provided in your account settings or in our documentation.
- No Refunds (Unless Required by Law). Except where required by law or explicitly stated otherwise, payments are non-refundable.

9. Beta Features & Changes
- Spinernet may, from time to time, offer beta or experimental features. These may be offered for evaluation purposes and may be changed, suspended, or discontinued at any time without notice.
- You understand that beta features may be less stable and are provided on an “AS IS” basis without any warranties.
10. Termination & Suspension
- You may stop using the Services at any time. You can also request account deletion as described in our Privacy Policy.
- We may suspend or terminate your access to the Services, or any part of them, at any time if:
- You violate these Terms or our policies;
- We are required to do so by law or by a third-party platform or vendor; or
- Continuing to provide the Services would create risk or liability for Spinernet.
Upon termination:
- Your right to access and use the Services will immediately stop; and
- Certain provisions of these Terms will survive (including payment obligations, limitations of liability, and indemnity).
We may, but are not obligated to, retain User Content for a period of time after termination.
11. Disclaimers
To the maximum extent permitted by law:
- The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
- Spidernet does not guarantee that:
- The Services will be uninterrupted, secure, or error-free;
- Any particular schedule, post, integration, or automation will run at a specific time or in a specific way; or
- Third-party social platforms will accept or properly display your content.
- We make no warranties, express or implied, including, but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title; or
- Warranties arising from course of dealing or usage of trade.
Your use of the Services is at your own risk.
12. Limitation of Liability
To the fullest extent allowed by law:
- Spinernet and its owners, officers, employees, affiliates, contractors, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, savings, data, or goodwill;
- Business interruption or loss of opportunity;
- Damages related to any downtime, failures, or changes in third-party platform APIs or policies.
- In no event will Spidernet’s total liability arising out of or in connection with the Services or these Terms exceed:
- The greater of (a) the amount you have paid to Spinernet for the Services in the six (6) months prior to the event giving rise to the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Spinernet and its owners, officers, employees, affiliates, contractors, and agents from and against all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your access to or use of the Services;
- Your User Content;
- Your violation of these Terms or any applicable law; or
- Your interactions with, or actions on, any third-party platform through the Services.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
14. Governing Law & Dispute Resolution
- These Terms and your use of the Services are governed by the laws of the State of Texas, USA, without regard to its conflict of laws principles.
- Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.
If you are located in a jurisdiction that requires different rules for consumer contracts, those rules may apply to you to the extent required by law.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will:
- Update the “Last Updated” date at the top; and
- In some cases, provide additional notice (e.g., via email or an in-app notification) if changes are material.
Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services.
